I started practicing law at Uría Menéndez, where for eleven years I advised and defended national and international clients in civil and commercial litigation proceedings before the courts of justice and arbitration tribunals, as well as in bankruptcy proceedings.

I began my professional career in the business law department of Uría Menéndez, then joined Mat Holding Group, where I worked as general counsel for ten years. Prior to founding PARS, I was the general counsel of Grupo Godó.

Recent experience

Insolvency and M&A

Within insolvency proceedings, we advised an Emirati investor in the competitive process for the acquisition of an industrial machinery production unit.

In the context of this transaction, a shareholders' agreement was signed by the Emirati investor and the management team and a subsequent corporate restructuring was carried out.

Real estate

We have advised a private investor on the sale of a property intended to be leased as a car park open to the public (together with the appropriate activity licence) to an investment fund specialising in urban mobility.

Tax procedure

We have co-led the advice in the negotiation with a regional tax administration and formalisation of an agreement for the payment of regional taxes, present and future, by means of the delivery of goods declared of cultural interest.

M&A

We have advised on the sale of a cleanrooms design, consulting and construction group to a French competitor. Prior to the sale, we assisted the sellers, a management team, in the negotiation of agreements aimed at aligning the interests of all shareholders within the framework of the divestment and in their subsequent relationship with the company and the new owner.

Conflict between partners and family business

We have intervened in a conflict between partners within a family business, advising a minority partner on exercising their right of withdrawal from the company through the appointment of an independent valuation expert by the Madrid Commercial Registry. Additionally, we have defended the client's interests against the company's judicial challenge of the valuation conducted by the independent expert, as well as in the legal claim for the payment of the price of their shares, along with the adoption of a precautionary measure consisting of the preventive seizure of the company's assets to ensure the enforcement of the judgment.

M&A

We have advised on the merger of three non-profit associations in the scientific field, with a total of almost 4,000 members, both in the intermediation phase between the three entities and in the subsequent implementation of the restructuring and integration phase.

M&A

We have advised a leading company in the distribution of products and accessories for motorcycling in the acquisition of an ecommerce specialized in the distribution of products in the off road sector.

M&A

We have advised on the sale of a company engaged in the distribution in Europe of APIs (Active Pharmaceutical Ingredients) and nutraceutical ingredients to a company listed in the Netherlands. Our advice included, among others, the negotiation of the corresponding sale and purchase agreement subject to the corresponding approval of the transaction by the CNMC.

Corporate conflict between an international and a national partner

We have advised a foreign investment group in a dispute with its national partner and sole administrator within the various companies of a Spanish business group. Our counsel included pursuing multiple extrajudicial and judicial actions (civil and commercial), along with the corresponding adoption of precautionary measures, all aimed at securing corporate control of the companies for the international partner.

M&A

We have advised a leading industrial group in the agriculture and water sector on the acquisition of a company owned by eight shareholders, dedicated to the manufacture and marketing of biosolutions for plant health. The transaction consisted of the payment of a fixed price and potential future payments depending on the performance of the business in the coming years.
